These Terms of Service (“Terms”) are a legal agreement between you (“Client”, “you”) and OtterlyGood Ltd (“Sizzle”, “we”, “us”, “our”). By ticking the “I agree” box and using our Service, you agree to be bound by these Terms.
1. Service Provided
1.1 We provide a white-label mobile app (“App”) branded for your business.
1.2 The App allows your customers to browse menus/products, place orders, and make payments.
1.3 We host, maintain, and update the App for the duration of your subscription.

2. Subscription & Fees
2.1 We offer different subscription plans, including but not limited to our Core and Pro plans. Each plan has its own monthly subscription fee, additional location fee, and per-order processing fee.
2.2 The current pricing for each plan (including monthly fees, additional location fees, and per-order processing fees) is published on our website and/or within your Sizzle dashboard. By subscribing to a plan, you agree to the pricing displayed at the time of subscription.
2.3 Subscription fees are charged monthly in advance via the payment method you provide.
2.4 Per-order processing fees are charged per completed order and are either deducted automatically from order totals or invoiced monthly, depending on your payment configuration.
2.5 All prices are exclusive of VAT unless otherwise stated.
2.6 We may update our pricing from time to time. Any pricing changes will be communicated to you in advance and will not apply until the start of your next billing cycle.

3. Non-Payment, Suspension & App Removal
3.1 If a subscription payment or per-order processing fee cannot be collected on the due date, we will notify you and attempt the payment again.
3.2 If payment remains outstanding for 14 calendar days, we may suspend your access to the Sizzle dashboard and disable ordering functionality in your App.
3.3 If payment remains outstanding for 30 calendar days:
your App may be removed from the Apple App Store and Google Play Store;
your account may be deactivated; and
all unpaid fees will remain due and payable.
3.4 You may reactivate your account at any time by settling all outstanding fees and providing a valid payment method.
3.5 We reserve the right to permanently delete your App build, configurations, and related data if your account remains unpaid and inactive for more than 60 days.
3. Non-Payment, Suspension & App Removal
3.1 If a subscription payment or per-order processing fee cannot be collected on the due date, we will notify you and attempt the payment again.

3.3 If payment remains outstanding for 30 calendar days:
your App may be removed from the Apple App Store and Google Play Store;
your account may be deactivated; and
all unpaid fees will remain due and payable.

4. Term & Cancellation

4.3 When you cancel, no further monthly subscription payments will be taken. You will continue to have access to your App until the end of the period you have already paid for.
4.4 Transaction fees per completed order will continue to apply until your App is removed from app stores and deactivated.

Your App will be removed from app stores, and
Your access to the platform will end.

5. Client Responsibilities
5.1 You are responsible for providing accurate business information, logos, menus, and content for your App.
5.2 You must ensure that your use of the App complies with all applicable laws and regulations.
5.3 You are responsible for your own customer service, fulfilment of orders, and compliance with food safety or retail laws.

6. Intellectual Property
6.1 We own all rights in the Sizzle platform, technology, and code.
6.2 You retain ownership of your brand assets, menus, and business content that you provide to us.
6.3 You are granted a non-exclusive, non-transferable licence to use the App for the duration of your subscription.

7. Data & Privacy
7.1 Customer data collected through the App belongs to you, but we may process it to provide the Service.
7.2 We may use anonymised data for analytics, service improvements, and reporting.

8. Support & Maintenance
8.1 We will provide reasonable support for technical issues with the App.
8.2 We will maintain and update the platform as needed.
8.3 We are not responsible for downtime caused by third-party providers (e.g., payment processors, hosting providers).

9. Limitation of Liability
9.1 We are not liable for any indirect, incidental, or consequential losses, including lost revenue or business.
9.2 Our total liability to you is limited to the total subscription fees paid by you in the previous 3 months.
9.3 Nothing in this Agreement limits liability for fraud, death, or personal injury caused by negligence.

11.1 This Agreement is governed by the laws of England & Wales.
11.2 Any disputes will be subject to the exclusive jurisdiction of the courts of England & Wales.
